Essential Qualifications

  • Company Secretary (CS) is required
  • Legal qualification preferred
  • Bachelor’s Degree is required; Master’s desired

Essential Experience & Skills

Essential Experience:

  • Overall experience of 4-6 years with a compliance or legal background
  • Thorough knowledge of applicable Laws for Companies and Charitable Trusts and Societies in India
  • Understanding of tax laws would be an added advantage
  • In-depth understanding of regulatory requirements
  • Experience in handling compliance activities
Essential Skills:
  • Proven organizational skills and capacity to handle multiple tasks under tight deadlines
  • Excellent writing, communication and facilitating skills
  • Ability to proactively communicate the compliance requirements to stakeholders
  • Proficiency in MSWord, Excel and Power Point applications
  • Working knowledge of compliance software applications

Key Roles & Responsiblities

  • Understand and stay up-to-date on the statutory and compliance requirements for corporate foundations, Indian CSR laws and rules & other amendments in Companies Act, 2013
  • Understand and assist in setting up an entity in USA within the Section 501(c)(3) of the United States Internal Revenue Code
  • Ensure strict adherence to good corporate governance and required regulatory compliances under the ompanies Act, relevant trust / societies’ laws and 501(c)(3) requirements
  • Working in multiple subsidiaries- holding company structures and ensuring their regulatory compliance
  • Understand Merger & Amalgamation compliances under the Companies Act, liasoning with lawyers and preparation of documentation for Mergers and demergers
  • Incorporation of companies, Conversion of various entities like trusts, private limited companies etc to Sec 8 companies
  • Compliances relating to change of name, alteration of object, alteration of MOA and AOA and share capital
  • Responsible for putting required regulatory framework in place to ensure compliance as per regulatory timelines
  • Conducting Board Meetings, Annual General Meetings and CSR Committee Meetings including preparation of notice and agenda, recording minutes of the meeting and preparing of resolutions for multiple subsidiary companies
  • Maintenance and tracking of comprehensive calendar for compliance of all applicable regulations
  • Conducting comprehensive secretarial audits, assisting in various other statutory and internal audits
